Terms & Conditions of Sale (TCS)

These Terms and Conditions of Sale (hereinafter the “Terms”) govern all sales concluded between:

Les Editions Ardi, a simplified joint-stock company (société par actions simplifiée – SAS), registered with the Paris Trade and Companies Register under number 992 165 449, whose registered office is located at 31, rue Benjamin Franklin, 75016 Paris, France (hereinafter “Ardi”),

and

any natural person of legal age acting exclusively for personal, non-professional purposes and as a final consumer (hereinafter the “Customer”), making a purchase on the website www.ardi-editions.com (hereinafter the “Website”).

Ardi and the Customer are hereinafter collectively referred to as the “Parties”.

These Terms apply, without restriction or reservation, to all sales of products offered by Ardi on the Website (hereinafter the “Products”).

These Terms apply exclusively to sales concluded with private consumers. Sales intended for professionals, architects, interior designers, resellers or galleries are subject to separate conditions available upon request.

The Customer acknowledges having read these Terms prior to placing any order. Validation of any order on the Website constitutes full, complete and unconditional acceptance of these Terms.

Ardi reserves the right to modify these Terms at any time. The applicable Terms are those in force on the date the order is confirmed.

The Customer selects the Products they wish to order on the Website.

The selected Products are added to the Customer’s cart (the “Cart”), which summarizes the chosen Products, their quantity, price and any applicable fees.

The Customer may modify the contents of their Cart at any time prior to final validation of the order.

To complete an order, the Customer must:

• provide the required billing and shipping information;
• verify the details of the order;
• accept these Terms and the Privacy Policy by checking the designated box;
• proceed with payment.

Validation of the order constitutes irrevocable acceptance of the order, subject to the right of withdrawal provided for in Article 11.

An order confirmation is sent to the Customer by email to the address provided during checkout.

Ardi reserves the right to refuse or cancel any order for legitimate reasons, including in the event of:

• a previous dispute with the Customer;
• total or partial non-payment of a previous order;
• reasonable suspicion of fraud;
• an abnormal order volume compared to quantities usually ordered by a consumer.

An invoice may be provided upon simple request sent to info@ardi-editions.com.

3.1 Product Information

The Products offered for sale are those displayed on the Website on the day of consultation by the Customer, subject to availability.

Ardi takes the greatest care in presenting and describing its Products in order to communicate their essential characteristics as faithfully as possible.

Ardi is committed to offering Products that meet its standards of quality, both functionally and aesthetically.

Photographs, descriptions, dimensions, finishes, tones and Product characteristics are presented with the utmost care. They are nevertheless provided for informational purposes only and may present slight variations, notably due to:

• the specific characteristics of the materials used;
• the artisanal or edited nature of certain finishes;
• color rendering variations between screens.

Such variations shall not engage Ardi’s liability nor affect the validity of the sale.

3.2 Availability

Product offers remain valid as long as they are visible on the Website and within the limit of available stock.

In the event a Product becomes unavailable after validation of the order, Ardi will inform the Customer as soon as possible and refund all sums paid within fourteen (14) days.

3.3 Special Requests

Certain projects or specific requests may be subject to dedicated handling upon request and subject to feasibility.

Where applicable, such requests will be governed by separate conditions communicated to the Customer prior to validation.

Unless expressly agreed otherwise, Products made or adapted upon Customer request are neither returnable nor refundable.

The prices of the Products displayed on the Website are indicated:

• in euros (€) for France and most European Union countries;
• in US dollars (USD) for the United States;
• in pounds sterling (GBP) for the United Kingdom;
• in Swiss francs (CHF) for Switzerland;
• in any other currency proposed on the Website depending on the selected delivery country.

The applicable prices are those displayed at the time the order is validated.

Prices are indicated inclusive of taxes where required by applicable regulations.

For deliveries outside the European Union, customs duties, import taxes or other local charges may apply. These charges remain exclusively the responsibility of the Customer.

Ardi reserves the right to modify its prices at any time. Products are invoiced based on the prices in force at the time the order is confirmed.

Shipping costs are indicated to the Customer prior to final order validation.

Payment is due immediately and in full on the day the order is placed.

Payment is made online by credit or debit card through the Website’s secure payment platform.

The accepted payment methods are those proposed at checkout, including:

• Visa;
• Mastercard;
• Cartes Bancaires;
• Apple Pay;
• Shop Pay.

Ardi reserves the right to modify accepted payment methods at any time.

The Customer guarantees that they are fully authorized to use the payment method used to pay for the order.

The order shall only be considered final after effective receipt of the payment due.

Ardi reserves the right to suspend or cancel any order in the event of payment authorization refusal, payment default or reasonable suspicion of fraud.

The Products remain the property of Ardi until full and effective payment of their price.

Ardi delivers Products to the countries available for selection on the Website on the date the order is placed.

Products are delivered to the address provided by the Customer during checkout.

The Customer is solely responsible for the accuracy of the delivery information provided.

Ardi offers shipping within France, the European Union and internationally, subject to the countries available at checkout.

Estimated delivery times from shipment are as follows:

• France: 3 to 5 business days;
• Europe: 5 to 10 business days;
• International: 7 to 15 business days.

These delivery times are indicative only and may be extended during periods of high activity, launches or circumstances beyond Ardi’s or the carrier’s control.

Ardi shall not be held liable for delays attributable to carriers, customs procedures or any external circumstances beyond its control.

Any taxes, customs duties or import fees applicable outside the European Union remain exclusively the responsibility of the Customer.

In the event delivery becomes impossible due to the Customer (incorrect address, repeated absence, unclaimed parcel or unjustified refusal), Ardi may charge the Customer the corresponding reshipping costs.

Risk transfer occurs upon effective delivery of the Product to the Customer.

The Customer is invited to inspect the parcel and the Products upon delivery.

In the event of any apparent anomaly (damaged parcel, missing Product or damaged Product), the Customer is invited to contact Ardi as soon as possible at info@ardi-editions.com, attaching any useful information, including photographs where applicable.

In order to ensure prompt and appropriate handling, any claim should be submitted as soon as possible and accompanied by all relevant supporting information.

The Products sold by Ardi benefit from the legal warranties provided under applicable law, including:

the legal warranty of conformity (Articles L.217-3 and following of the French Consumer Code);

the warranty against hidden defects (Articles 1641 and following of the French Civil Code).

The Customer benefits from a period of two (2) years from delivery of the Product to act under the legal warranty of conformity.

Any claim relating to an order may be addressed to: info@ardi-editions.com

Ardi will endeavor to respond within a reasonable timeframe.

For any question relating to use, care, repair or possible replacement of certain parts, the Customer may contact Ardi at: info@ardi-editions.com

Ardi will review each request on a case-by-case basis.

In accordance with applicable legal provisions, the Customer has fourteen (14) days from receipt of the Products to exercise their right of withdrawal without having to justify their decision.

The Customer may exercise this right:

• by email at info@ardi-editions.com;
• via the withdrawal form attached hereto;
• or through the dedicated functionality available on the Website when applicable.

The Customer then has fourteen (14) days from notification of withdrawal to return the Product.

Return shipping costs remain the responsibility of the Customer.

Products must be returned complete, in their original condition, unused, and accompanied by their packaging and accessories.

Damaged, incomplete, used, stained or unsellable returned Products cannot be refunded.

Products manufactured, created or adapted upon Customer request are excluded from the right of withdrawal.

Ardi will issue the refund within fourteen (14) days following receipt and inspection of the returned Product.

Beyond this period, Ardi may review requests on a case-by-case basis without any obligation of acceptance.

Ardi does not offer exchanges. Any new acquisition requires a new order.

Ardi collects and processes the Customer’s personal data in connection with order management, customer relations and its legal obligations.

The terms governing the processing of personal data are detailed in the Privacy Policy available on the Website.

In accordance with applicable regulations, the Customer has rights of access, rectification, opposition, deletion and portability regarding their personal data, which may be exercised at any time by writing to info@ardi-editions.com.

All elements appearing on the Website, including texts, visuals, photographs, logos, drawings, designs, objects, graphic elements and content, are protected by intellectual property laws and remain the exclusive property of Ardi or its partners.

Any reproduction, representation, adaptation, exploitation or use, whether in whole or in part, without Ardi’s prior written authorization, is strictly prohibited.

Ardi shall not be held liable for any failure or delay in the performance of its obligations in the event of force majeure as defined under French law and the jurisprudence of French courts.

These Terms are governed by French law.

In the event of a dispute, the Customer is invited to contact Ardi first in order to seek an amicable solution.

Failing an amicable resolution, the Customer may refer the matter free of charge to the following consumer mediator:

In accordance with applicable rules, the Customer may also use the European online dispute resolution platform: https://ec.europa.eu/consumers/odr.

Failing amicable resolution, competent courts shall be determined in accordance with consumer protection rules under applicable law.
